Terms of Service

Please read these Terms of Service carefully before accessing or using WellNote. Throughout the site and the application (the “Service”), the terms “we”, “us” and “our” refer to the independent developer of WellNote. WellNote offers this application, including all information, tools, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.

By accessing or using any part of the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all the terms and conditions of this agreement, then you may not access the Service.

SECTION 1 - GENERAL TERMS

  • By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence.
  • You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
  • You must not transmit any worms, viruses, or any code of a destructive nature.
  • A breach or violation of any of the Terms will result in an immediate termination of your Services.
  • We reserve the right to refuse service to anyone for any reason at any time.

SECTION 2 - REGISTRATION & ACCOUNT

  • To access certain features, you must register for an account. You are required to provide a unique email address (“Login Information”).
  • You are responsible for the confidentiality and use of your Login Information and are solely responsible for any activities occurring under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • You have no ownership right to your Account.

SECTION 3 - PERMITTED USES/LICENSE

You are authorized to access the Site for the sole purpose of using the Services. You shall not, and shall not permit any other person to:

  • (a) copy, modify, or prepare derivative works of the Service, in whole or in part;
  • (b) rent, lease, sell, sublicense the Service or distribute the Services to any person or via any cloud technology;
  • (c) reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of the Service;
  • (d) bypass any security protection contained in the Service;
  • (e) use the Service for any purpose that is to our detriment, including developing a competing software product.

SECTION 4 - USE OF THE SERVICES (WEALTH TRACKING)

The Service provides tools for asset tracking (WellNote), financial planning (FIRE Calculator), and job offer comparisons (Offer PK).

  • You acknowledge that your use of the Service involves manual data entry or CSV imports.
  • You accept sole responsibility for any errors in your personal financial data.
  • You are responsible for securing and backing up your database and notes; we have no liability for the deletion of or failure to store any User Content.

SECTION 5 - MARKET DATA & INVESTMENT DISCLAIMER

WELLNOTE IS STRICTLY A JOURNALING AND DATA PROCESSING TOOL. IT DOES NOT HOLD FINANCIAL SERVICE QUALIFICATIONS

  • (a) Non-Investment Advice: Any content, including calculation results (PnL snapshots, ARR), charts, or community notes, does not constitute investment advice or recommendations .
  • (b) Data Accuracy: Market data for securities and wealth products are derived from third-party public channels. We do not guarantee the absolute accuracy, completeness, or timeliness of market data. Data may be delayed and is not guaranteed to be real-time.
  • (c) Verification Duty: You are obligated to verify latest prices via official institutions before executing real transactions. Any financial decisions are made at your sole risks.

SECTION 6 - USER CONTENT GENERALLY

  • When you post notes or interact in “The Circle,” you represent that you own or have rights to that content.
  • By posting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use and display such content as necessary to provide the Service.
  • If you provide feedback or suggestions, you grant us an irrevocable, perpetual license to use such feedback without compensation.

SECTION 7 - USER CONDUCT

You agree not to use the Service to take actions that are offensive, infringe on intellectual property, or involve unauthorized commercial activities. Specifically, you are prohibited from:

  • Posting buy/sell suggestions or profit guarantees.
  • Impersonating licensed financial institutions or analysts.
  • Soliciting followers for external paid services.

SECTION 8 - WARRANTY DISCLAIMER

  • YOU AGREE THAT THE SERVICES ARE AVAILABLE ON AN “AS IS” BASIS, WITHOUT ANY WARRANTY, AND THAT YOU USE THE SERVICES AT YOUR OWN RISK.
  • WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES RELATING TO THE ACCURACY OR CORRECTNESS OF DATA ON THE SERVICES.
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

SECTION 9 - LIMITATION OF LIABILITY

  • IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY AMOUNT IN THE AGGREGATE IN EXCESS OF THE GREATER OF $100 OR THE FEES PAID BY YOU DURING THE 12-MONTH PERIOD PRECEDING THE APPLICABLE CLAIM.
  • WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR DATA LOSS OR MATTERS BEYOND OUR REASONABLE CONTROL.

SECTION 10 - INDEMNIFICATION

  • You agree to indemnify and hold harmless the developer and affiliates from any claim made by any third party due to or arising out of your use of the Services in violation of these Terms, or any corruption of your data resulting from your use of the Services.

SECTION 11 - GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the developer resides, without regard to conflict of law principles.
